# Terms of service

Last updated: 25 October 2026

These terms are an agreement between you and URLERT LLC ("BadgerBell", "we", "us"), a Texas limited liability company at 5900 Balcones Drive, Suite 100, Austin, Texas 78731, United States. They cover your use of BadgerBell: the website at badgerbell.com, the app, the status pages, the API and the AI-assistant connector (together, "the Service"). By using the Service you agree to these terms and to our [Privacy policy](https://badgerbell.com/privacy.md).

**The short version:**
- Free means free, for any use, commercial use included.
- Your plan, its price and what it includes, are locked for as long as you stay subscribed.
- Only monitor sites and servers that are yours, or that you are allowed to monitor.
- Alerts are sent on a best-effort basis. Keep your own on-call plan.

## \1. Using BadgerBell

BadgerBell checks websites, servers, scheduled jobs and other endpoints from several places, alerts you when one stops answering, and shows your customers a status page. You choose what it checks and who it tells.

The Service is free to start. Paid plans come later (section 5).

## \2. Your account

- You sign in with Google or with an email address, and you confirm that address. You must be at least 16 years old.
- Keep your sign-in secure. Anything done through your account is your responsibility. Tell us at support@badgerbell.com if you think someone else is using it.
- A team can have several people, in one role for every project. If you invite people, you choose who has access. If you create a team for an organization or for a client, you confirm you are allowed to act for it.
- A team can use BadgerBell to watch its clients' sites, and an agency can show clients their own pages. You may not resell access to the Service itself without our written permission.

## \3. Our promise

This section is part of the terms. After launch it changes only with 90 days' notice by email; the rest of the terms change with 30 days' notice (section 15).

- **Free means free, for any use.** Commercial use is allowed on the free plan.
- **Your plan is locked, its price and what it includes,** for as long as you stay subscribed. If we ever change a plan, you get 90 days' notice by email, and you either keep what you have or leave with a pro-rata refund. The lock stays for 60 days after a declined card or a downgrade. Upgrading never takes anything away: no paid plan has fewer monitors than the free one.
- **We don't switch off quiet accounts.** A free account that nobody logs into keeps running. The only thing paused is a monitor whose target has been down for 30 days, and the owner is told.
- **Your setup is yours.** You can export every monitor, alert rule and status page, and the check history, whenever you like.
- **Stable probe addresses.** The addresses our checks come from are published, and any change gets 30 days' notice. A change a provider forces on us gets notice the same day.
- **A machine never decides to page you.** Detection and alerting follow fixed rules you can read. AI explains and drafts; it never decides whether an alert goes out, and no words written by AI or an agent reach a status page without a person.
- **If we ever close or are sold,** you get 90 days' notice, and export keeps working until the last day. Money you have paid for time we don't deliver is refunded, and anyone who buys BadgerBell takes on this promise.

## \4. AI assistants, agents and the API

- You can connect AI assistants and make API tokens. They act as you, within the team, projects and access level you give them, and you are responsible for what they do. You can see and revoke each one at any time.
- An agent can read everything and can create and edit monitors alone. Some things wait for a person to approve: anything public, such as a status update or a published page; deleting monitors or status pages; billing and plan changes; invitations and roles; and any change that makes an alert later, rarer or less likely.
- API tokens follow the same rules as agents.
- Deleted monitors and status pages go to a bin for 30 days, and can be restored from it.

## \5. Plans and billing

- **Free now.** Every account is on the free plan today. No card is taken today.
- **Paid plans later.** When paid plans start, their prices and what they include are shown before you buy, and you pay only after you choose a plan. Payments go through Stripe. Nothing you have on the free plan is switched off because a paid plan exists.
- **Billing.** A paid plan is billed on the 1st of the month. The first charge covers the days left in the month. You can cancel at any time, and a plan you cancel runs to the end of the period you paid for.
- **If you move to a smaller plan,** history older than the new plan keeps is deleted after the 60-day lock ends. Projects over the new plan's limit pause and unpublish, and their history is kept.
- **A declined card** is told to every owner at once, by email and a second channel. Your price lock stays for 60 days.

## \6. Acceptable use

Don't use BadgerBell to:
- break the law, or help someone else break it;
- watch a site or server you don't own and aren't allowed to watch;
- attack, overload or probe a site, or use our checks as a way to flood one;
- send spam, or use alerts, status pages or subscriber emails to message people who haven't asked for them;
- put misleading, harmful or unlawful content on a status page, or pretend to be someone else;
- get around limits or safeguards, for example with several accounts or teams, or interfere with BadgerBell or other people's use of it.

We may pause, remove or end what breaks these rules, and tell you by email.

## \7. Checking sites, and limits

- **Only your own sites, or sites you may monitor.** You confirm that you own each address you add or are allowed to check it. A site's owner can ask us to stop checking it: email support@badgerbell.com and we will stop checks against that host.
- **Private addresses are blocked.** Our probes refuse private and internal addresses.
- **A cap per host.** All of BadgerBell's checks against one host are capped at 300 a minute, across all accounts, so BadgerBell can't be used to flood a site. A host's owner can ask for more.
- **Plan limits.** The Service has limits, such as the number of monitors, how often they run, texts and AI use. They are shown in the app and may change within section 3. Don't try to get around them.
- **A monitor that has been down for 30 days is paused,** and its owner is told.

## \8. Alerts are best effort

We work hard to alert you when a monitor goes down and when it is back, but we can't guarantee that every alert is sent or arrives in time. Email, texts, calls, chat and other services between us and you can fail or be late, and a check can be wrong. BadgerBell is not a replacement for your own on-call plan, and you should not rely on it alone for anything where a missed or late alert could cause harm. We have no service-level agreement or service credits yet.

## \9. Text alerts

- Texts go only to numbers that the owner has confirmed with a code. Nobody can add your number for you.
- We send only alerts about monitors that the person chose, and the one text with the confirmation code. No marketing texts.
- Reply **STOP** to opt out and **HELP** for help.
- Message and data rates may apply.
- Carriers are not liable for delayed or undelivered messages.

The full details, with the words of the texts, are on the [Text alerts](https://badgerbell.com/text-alerts.md) page.

## \10. Your data

- **Yours.** You keep the rights you have in what you add: monitors, notes, status page words and the like. You give us permission to store, process and show it as needed to run the Service.
- **Where it is kept.** Your data is kept in the European Union, on DigitalOcean in Amsterdam, with backups in Cloudflare R2's EU jurisdiction. Backups are kept for 30 days.
- **Secrets.** Credentials you give a monitor, such as auth headers and tokens, are stored encrypted.
- **Sub-processors.** A data processing agreement and a list of the services that handle data for us are available on request at support@badgerbell.com.

How we treat personal data is in [the privacy page](https://badgerbell.com/privacy.md).

## \11. Ending

- **You** can stop using BadgerBell and delete your account at any time. Export your setup first if you want to keep it.
- **We** may suspend or end your access if you break these terms or the acceptable use rules, or if the law requires it. We will tell you by email unless we can't, or must act at once.
- If BadgerBell closes or is sold, section 3 applies.

## \12. Disclaimers

**The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.** We work to keep BadgerBell running, but we don't promise it will always be available or error-free.

## \13. Limitation of liability

**To the extent the law allows, URLERT LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, including from a missed, late or wrong alert.**

**Our total liability for any claim about the Service is limited to the greater of the amount you paid us in the 12 months before the claim, or US$50.**

## \14. Governing law

These terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Travis County, Texas, unless the law where you live gives you the right to bring a claim in your local courts.

## \15. Changes

We may change the Service and these terms. We tell you by email at least 30 days before a change to the terms takes effect, unless we must change something sooner for security or the law. Section 3 changes only with 90 days' notice. If you keep using the Service after a change takes effect, you accept the new terms.
